Terms and Conditions of Service
1. Introduction
These Terms and Conditions («Terms») govern the relationship between CG SPORT TECH 2016 SL («3PL Provider») and its clients («Customer») for the provision of third-party logistics (3PL) services. By engaging our services, you agree to comply with and be bound by these Terms.
2. Scope of Services
The 3PL Provider offers a full suite of logistics services, including but not limited to:
- Warehousing and storage
- Order processing and fulfillment
- Packaging and labeling
- Shipping and transportation
- Inventory management
- Tracking and reporting
- Customer support services (optional)
- Marketing insights via our app
3. Service Level Agreement (SLA)
The 3PL Provider guarantees:
- 99.98% accuracy on order fulfillment.
- 100% shipments on-time as per contract terms. In the event we do not meet these standards, the Customer is entitled to a fee reduction or full reimbursement for the affected orders.
4. Customer Obligations
The Customer agrees to:
- Provide accurate product information, including SKU details, dimensions, and weight.
- Ensure timely payment for services rendered.
- Adhere to all legal requirements regarding the shipment of goods, including but not limited to customs, import/export, and safety regulations.
5. Pricing and Payment Terms
Service charges will be based on the volume, weight, and dimensions of the goods handled, as well as any additional services required. The Customer will receive an invoice monthly, payable within [30 days] of issuance. In the event of late payments, the 3PL Provider reserves the right to suspend services until the account is settled.
6. Insurance and Liability
The 3PL Provider maintains insurance coverage for warehousing and transportation. However, liability for loss or damage to goods is limited to the lesser of:
- The actual value of the goods lost or damaged
- A set limit per kilogram as per the insurance policy
The 3PL Provider is not liable for indirect, consequential, or special damages, including but not limited to loss of revenue or business.
7. Packaging and Handling
The 3PL Provider will package and label products based on Customer requirements. We strive to minimize costs while ensuring the integrity and safety of all goods shipped. Any specific packaging instructions must be provided in writing and agreed upon in advance.
8. Returns and Disputes
In the event of a return or disputed shipment, the 3PL Provider will work with the Customer to resolve the issue. Any disputes regarding service levels must be reported within [7 days] of the issue arising. Returns processing can be handled by the 3PL Provider as an additional service, subject to fees.
9. Confidentiality
Both parties agree to keep all proprietary information, including business strategies, pricing, and customer data, confidential. The 3PL Provider will not disclose this information to third parties without the Customer’s consent, except where required by law.
10. Termination
Either party may terminate this agreement by providing [30 days] written notice. In the event of termination, the Customer will be responsible for all outstanding payments, and the 3PL Provider will return any remaining inventory to the Customer or transfer it to a new provider, as agreed.
11. Force Majeure
The 3PL Provider is not liable for delays or failures in performance due to events beyond its reasonable control, including but not limited to natural disasters, strikes, pandemics, or regulatory changes.
12. Governing Law and Jurisdiction
This agreement is governed by the laws of [Your Country/Region]. Any disputes arising from these Terms will be resolved in the courts of [Your City/Country].
13. Modifications
The 3PL Provider reserves the right to modify these Terms at any time. Customers will be notified of any significant changes in advance, and continued use of our services will constitute acceptance of the updated Terms.
